Terms of Service

These Terms of Service ("Terms") are an agreement between you and Nept Inc. ("Nept," "we," "us," or "our") and govern your use of Nept Cloud, our websites, CLI, APIs, and related services (collectively, the "Service").

By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you use the Service on behalf of an organization, you confirm you are authorized to accept these Terms for it, and "you" includes that organization.

You sign in through a supported provider such as GitHub or Google. You must be at least 13 years old, and old enough to form a binding contract where you live, to use the Service.

You are responsible for activity under your account, including actions by team members you invite and anyone using your API keys. Keep your credentials and keys secure and tell us promptly at [email protected] if you suspect unauthorized access.

Nept lets you build, deploy, host, and monitor applications, containers, and databases. We may add, change, or remove features over time. Features labeled preview, beta, or experimental may be incomplete and can change or be withdrawn without notice.

We work to keep the Service available but do not guarantee uninterrupted operation. Maintenance, incidents, and third-party outages can cause downtime. You are responsible for keeping your own backups of code and data you cannot afford to lose.

You keep ownership of the code, data, configuration, and other material you upload, connect, or deploy ("Your Content"). You grant Nept a limited license to host, copy, process, and transmit Your Content only as needed to operate, secure, and support the Service for you.

You are responsible for Your Content and for having the rights needed to use it, including any third-party code, licenses, and personal data your applications process. If your application handles personal data of others, you are responsible for meeting the privacy laws that apply to it.

You agree not to use the Service to:

• Host, stream, or distribute illegal content, including pirated movies, shows, music, software, games, or other copyrighted material you do not have the rights to.
• Break the law or infringe anyone's rights, including intellectual property and privacy rights.
• Host or distribute malware, phishing pages, or content that exploits or harms minors.
• Send spam or run unauthorized scanning, denial-of-service, or other attacks.
• Mine cryptocurrency or run workloads designed to exhaust shared resources.
• Access or probe other customers' workloads, or attempt to bypass limits, billing, or security controls.
• Resell or provide the Service to others as a standalone offering without our written permission.

We may remove content or stop workloads that violate this section or put the Service, our users, or others at risk.

Paid plans are billed monthly in advance and include a monthly credit allowance that is consumed by resource usage such as memory, CPU, and egress. Monthly plan credits expire at each renewal and do not roll over. Credits you purchase separately as top-ups do not expire while your account remains open. Current plans and rates are listed on our pricing page.

Payments are processed by Stripe or NOWPayments. By subscribing, you authorize us to charge your payment method on each renewal until you cancel. You can cancel anytime; cancellation takes effect at the end of the current billing period. Prices exclude taxes, which you are responsible for where applicable.

Except where required by law, fees and purchased credits are non-refundable. If a payment fails or your credits run out, we may pause or limit resources until your balance is restored. We will give notice before changing the price of a plan you are subscribed to.

AI features generate output using third-party models. Output can be inaccurate, insecure, or similar to output produced for others. Review AI-generated code and content before you deploy or rely on it; you are responsible for how you use it.

Do not submit secrets or personal information that your request does not need. AI usage may consume credits as described on the pricing page.

The Service connects to third parties such as GitHub, Google, Stripe, and model providers. Your use of those services is governed by their own terms, and Nept is not responsible for their availability or actions. You can revoke a connection at any time from that provider's settings.

Nept and its licensors own the Service, including its software, design, and branding. These Terms give you a limited, non-exclusive, non-transferable right to use the Service; they do not give you any rights to our trademarks.

If you send us feedback or suggestions, we may use them without any obligation to you.

You can stop using the Service and delete your projects at any time. We may suspend or terminate your access if you breach these Terms, fail to pay, create a security or legal risk, or if we are required to by law. Where reasonable, we will give notice and a chance to fix the issue first. This does not apply to illegal content, including piracy: on notice of illegal content, we suspend the account immediately.

After termination, your deployments stop and we may delete Your Content following our retention practices described in the Privacy Policy. Sections that by their nature should survive termination, including billing obligations, disclaimers, and limits of liability, will survive.

To the extent permitted by law, the Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the extent permitted by law, Nept will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, arising from your use of the Service.

Nept's total liability for any claim relating to the Service is limited to the amount you paid Nept in the 12 months before the event giving rise to the claim.

You agree to defend and indemnify Nept against claims, losses, and expenses arising from Your Content, your applications, or your violation of these Terms or the law.

We may update these Terms as the Service or the law changes. We will post the updated Terms here and change the "Last updated" date. For material changes, we will give notice before they take effect. Continuing to use the Service after that means you accept the updated Terms.
